These Terms of Service govern the relationship between VistrixMedia ("we", "us", "our") and any individual or business ("you", "the client") who uses our website, enquires about our services or engages us for any project or retainer.
VistrixMedia is a full-service digital marketing agency based in India, providing services including performance marketing, paid advertising, social media management, website development, graphic designing, SEO, product photography and brand identity.
By accessing visttrixmedia.com, submitting a contact form, requesting a free audit, engaging us for a project or signing a proposal or agreement, you acknowledge that you accept these Terms of Service in full.
These terms apply to all visitors, enquiries, clients and anyone who interacts with VistrixMedia in any capacity. We reserve the right to update these terms at any time, with changes taking effect upon publication on this page.
VistrixMedia provides the following services, subject to individual agreements, proposals and scopes of work agreed upon with each client:

To enable us to deliver our services effectively and on time, clients agree to the following responsibilities:

Late payments: If payment is not received within 7 days of the due date, we reserve the right to pause work until payment is cleared. Continued non-payment beyond 30 days may result in termination of the engagement.
Refund policy: All payments are non-refundable once work has commenced. We do not guarantee specific results and refunds will not be issued based on outcome expectations.
Estimated timelines are provided in good faith and may be affected by delays in receiving client assets or approvals, scope changes after work has begun, technical issues on third-party platforms or circumstances beyond our reasonable control.
We will communicate any anticipated delays proactively. If a client fails to respond within the agreed review timeframe, the project timeline will be adjusted accordingly at no additional cost to VistrixMedia.
The number of revisions included in each project is outlined in the individual proposal. Unless otherwise stated:
Additional revisions beyond the agreed allowance will be billed at our standard rate. Once a client provides written approval on a deliverable, that item is considered final. Changes requested after approval may be treated as a new revision round.
Client-owned assets: Any content, logos, images or materials provided by the client remain the sole property of the client. We will not use these for any purpose other than delivering the agreed services.
Work product ownership: Upon receipt of full and final payment, ownership of all custom deliverables created specifically for the client transfers to the client.
Portfolio rights: We reserve the right to display completed work in our portfolio, case studies and marketing materials unless the client requests confidentiality in writing prior to project commencement.
Third-party assets: Any stock images, fonts, plugins or third-party tools used in your project are subject to their respective licensing terms. The client is responsible for ensuring continued compliance.
Both parties agree to keep confidential any proprietary business information, strategies, pricing, client data and other sensitive materials shared during the engagement.
VistrixMedia will not disclose confidential client information to any third party without prior written consent, except where required by law or to deliver the agreed service.
Clients agree not to disclose our internal processes, pricing structures, strategies or proprietary methods to any third party without our prior written consent. This obligation survives the termination of any agreement between the parties.
VistrixMedia provides services on a best-efforts basis. We cannot guarantee specific results including:
To the maximum extent permitted by applicable law, VistrixMedia shall not be liable for any indirect, incidental, special or consequential damages. Our total liability to any client shall not exceed the total fees paid by that client in the 3 months preceding the claim.
Termination by the client: Clients may terminate a monthly retainer by providing 30 days written notice. Work completed or in progress during the notice period is billable. For project-based engagements, termination mid-project does not entitle the client to a refund.
Termination by VistrixMedia: We reserve the right to terminate any engagement immediately if the client fails to make payment, behaves abusively toward our team, asks us to engage in illegal or misleading activities, or if continuing would violate any applicable law or platform policy.
Upon termination, all completed work and assets will be provided to the client subject to full payment being received. Access to platforms managed on the client's behalf will be returned within a reasonable timeframe.
